CONSTITUION

 

ARTICLE I

NAME

 

The name of this organization shall be the Alumnae Association of Mount Saint Joseph Academy and College, herein after referred to as the “Association.”

 

ARTICLE II

MISSION AND VISION

 

The mission of this Association shall be to foster loyalty, friendship, and community among graduates, former students, and the Ursuline Sisters of Mount Saint Joseph.  In the spirit of Saint Angela Merici, the Association shall uphold Catholic ideas, promote Christian formation, and support involvement in Christian service.

 

The vision of the Association shall be a viable, active, and energetic organization, to nurture and promote a kinship among all alumnae and to support the mission of the Ursuline Sisters of Mount Saint Joseph.

 

ARTICLE III

MEMBERSHIP

 

The membership of the Association shall consist of regular, associate and honorary members.

 

      Section 1.  Regular Membership shall consist of all who have received graduating honors at Mount Saint Joseph Academy or College.  Rights and privileges shall be conveyed. 

 

      Section 2.  Associate Membership shall consist of former non-graduate students of Mount Saint Joseph Academy or College who wish to join the Association.  Rights and privileges of regular membership shall be conveyed.

 

      Section 3.  Honorary Membership shall consist of benefactors or others, by action of the Executive Board.  Rights and privileges of regular membership shall not be conveyed.  

 

ARTICLE IV

ADVISOR AND LIAISON

 

The Coordinator of Ursuline Partnerships, an employee of Mount Saint Joseph, shall serve as Advisor and Liaison to the Association.  Rights and privileges to pay dues, vote, hold office and present business are not conveyed.

 

ARTICLE V

EXECUTIVE BOARD OF THE ASSOCIATION

 

      Section 1. The Association shall be led by a 3–5 member Executive Board elected by members of the Association. Herein the Executive Board may be referred to as the “Board.”

 

      Section 2. The Executive Board shall consist of 3–5 elected members together with the Coordinator of Ursuline Partnerships.  A quorum shall consist of members present.  The Executive Board shall have charge of the business of the Association.

 

ARTICLE VI

NOMINATION AND ELECTION OF EXECUTIVE BOARD MEMBERS

 

      Section 1.  A slate of nominees shall be presented at the annual meeting.

 

      Section2.  Nominations shall be accepted from the floor and the nominee shall be in agreement to serve as an Executive Board member of the Association.

 

      Section 3.  The Executive Board members shall be elected every two years.  Board members shall serve two years and are eligible for re-election for consecutive two-year terms and additional terms.

 

      Section 4.  Elections shall be held every two years.  A two-third’s vote of members present shall be necessary for election. 

 

      Section 5.  Upon approval of the Executive Board, a Board member appointed to fill a vacancy shall hold that office until the expiration of the term that Board member has filled.  This Board member shall be eligible for re-election.  

 

 

ARTICLE VII

DUTIES OF EXECUTIVE BOARD MEMBERS

 

      Section 1. The 3–5 members of the Executive Board shall determine which roles they each choose to serve: President/Co-President, Vice-President, Secretary or Treasurer.

 

      Section 2. One or more Board members shall serve as the President (or Co-Presidents) and shall strive to be the leading spirit of the Association.  The President(s) shall preside at all the meetings if possible.  The President(s) shall not vote unless the vote is equally divided in which case the President(s)’ vote shall be the decisive vote.

 

      Section 3. One member of the Board may serve as the Vice-President and shall perform such duties as are appropriate to the office or may be assigned by the Executive Board.  The Vice-President automatically becomes President upon the death or resignation of the President(s).  The Vice-President shall have the same privileges as any member.

 

      Section 4: If two of the elected Board Members choose to serve as Co-Presidents instead of President and Vice-President, the President and Vice President duties shall be merged. Co-Presidents will combine their expertise, advise on organizational effectiveness, share equal duties, and work closely with the Board. Co-Presidents shall have the same privileges as any member.

 

      Section 5. One member of the Board shall serve as the Secretary and shall keep a record of the proceedings of the Association, conduct communications, and notify Committee Chairpersons of their appointments and of the subject referred to them.  The Secretary shall keep the Association By-Laws.  In the event the President/Co-Presidents and Vice-President are absent, the Secretary shall call the meeting to order and ask for nominations for someone to act as Chairperson Pro-tem.  The Secretary shall have the same privileges as any member.

 

      Section 6. One member of the Board shall serve as the Treasurer and shall be the custodian of the Association’s funds.  The Treasurer shall keep the financial statement up-to-date.  At the annual meeting, the Treasurer shall give a report of receipts, expenditures and balance on hand.  The Treasurer shall have the same privileges as any member. 

 

ARTICLE VIII

REVISION/AMENDMENT TO CONSTITUTION

 

The Constitution shall be revised/amended by a two-third’s vote of the membership present at the annual meeting, provided the Association membership has been notified thirty days prior to the date of the annual meeting.

BY-LAWS

 

ARTICLE I

MEETING

 

The annual meeting of the Association shall be held on the fourth weekend of August.

 

ARTICLE II

DUES

 

The amount of the annual dues shall be set by the members present at the annual meeting.  A member shall pay life membership dues of two hundred dollars ($200.0) in lieu of annual dues.  Annual and life membership dues shall be changed by a two-third’s vote of the members present at the annual meeting. 

 

ARTICLE III

QUORUM

 

A quorum is members present at the annual meeting.

 

ARTICLE IV

FUNDS

 

The funds collected by the Association from fees, entertainment, or other sources shall be used to further the growth and influence of the Association, the Ursuline Sisters of Mount Saint Joseph, or any other worthy cause that shall be supported by a two-third’s vote of the members present at the annual meeting.  The funds shall be deposited in a local bank.

 

 

 

ARTICLE V

REVISION/AMENDMENT TO BY-LAWS

 

The revision/amendment of the by-laws shall be revised/amended by a two-third’s vote of the members present at the annual meeting, provided the Association membership has been notified thirty days prior to the annual meeting.

 

ARTICLE VI

RULES OF ORDER

 

Robert’s Rules of Order, revised, when not in conflict with these by-laws, shall govern the conduct of business of the Association.
